1. Introduction

Welcome to the website of CEPNZ. By accessing or using our website (the “Site”), you agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree with any part of these Terms, you must not use the Site.

These Terms, together with our Privacy Policy and any other notices displayed on the Site, constitute the entire agreement between you (the “User”, “you” or “your”) and CEPNZ (“we”, “us”, “our” or the “Company”) concerning your use of the Site.

2. Interpretation

In these Terms:

  • “User”, “you” and “your” refer to the person accessing or using the Site.
  • “We”, “us”, “our” or “CEPNZ” refer to Centre for Educational Progress in NZ.
  • References to the singular include the plural and vice-versa; references to any gender include all genders.
  • Headings are for convenience only and do not affect interpretation.

3.1 Eligibility: You must be at least 18 years of age, or if younger, using the Site under the supervision of a parent or legal guardian.
3.2 Acceptable use: You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, restrict or inhibit any other user of the Site.
3.3 Prohibited actions: Without limitation, you must not:

  • use the Site in any way that is unlawful or fraudulent;

  • reproduce, duplicate, copy, sell, resell or exploit any portion of the Site without the express prior written permission of CEPNZ.

4.1 Ownership: All content on the Site, including text, graphics, logos, images, audio and software, and the overall design of the Site, is owned by or licensed to CEPNZ and is protected by intellectual property laws.
4.2 Limited licence: Subject to these Terms, CEPNZ grants you a non-exclusive, non-transferable, revocable licence to access and use the Site solely for your personal, non-commercial use.
4.3 Restrictions: You must not:

  • republish, redistribute, reproduce, duplicate or copy any of the Site content without our prior written consent;
  • sell, rent, sub-licence, loan or otherwise exploit any portion of the Site content for any commercial purpose;
  • remove any copyright, trademark or other proprietary notices from the Site content.

5. Cookies & Tracking

By using the Site, you consent to our use of cookies and similar technologies, as described in our Privacy Policy. These help us improve your experience and deliver personalised content. If you disable cookies, some features of the Site may not function properly.

6. User-Generated Content & Comments

6.1 Some parts of the Site may allow Users to post comments, feedback, reviews or other content (“User Content”). When you post User Content you warrant that you have all necessary rights and consents.
6.2 By posting User Content, you grant CEPNZ a worldwide, non-exclusive, royalty-free, sub-licensable licence to use, reproduce, adapt, publish and display your User Content in any media.
6.3 We do not pre-screen User Content, but we reserve the right to monitor, edit or remove any content which we consider (in our discretion) to be unlawful, offensive, defamatory or violates these Terms.
6.4 You agree to indemnify us and keep us indemnified from any claims, losses, damages, liabilities and costs arising out of your User Content, or any violation by you of these Terms.

7. Linking to Our Site & Use of Frames

7.1 You may link to our Home Page or other pages of the Site provided that you do not imply any sponsorship, endorsement or association with your website, and the link is not used for commercial purposes unless we have given prior written approval. 7.2 You must not use any framing techniques to enclose any part of our Site without our prior written consent.
7.3 We may withdraw permission to link to our Site at any time and you agree to remove any link immediately upon request.

8. Disclaimer, Limitation of Liability & Indemnity

8.1 Disclaimer: While we endeavour to ensure the content on the Site is correct and up to date, we make no warranties or representations of any kind (whether express or implied) about the completeness, accuracy, reliability, suitability or availability with respect to the Site or the information, services or graphics contained on the Site.
8.2 To the maximum extent permitted by applicable law, CEPNZ will not be liable for any loss or damage (including indirect or consequential loss) arising directly or indirectly from your use of, or inability to use, the Site. 8.3 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or other liability which cannot be excluded or limited by law. 8.4 You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities or costs (including legal fees) arising out of your breach of these Terms or your misuse of the Site.

9. Changes to Terms

We reserve the right to modify, suspend or withdraw any part of the Site or these Terms at any time. The updated Terms will be posted on the Site, and your continued use of the Site following posting constitutes your acceptance of those changes. It is your responsibility to review these Terms periodically.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of New Zealand. Any dispute arising from or in connection with your use of the Site will be subject to the non-exclusive jurisdiction of the courts of New Zealand.

11. Severability & Waiver

If any provision of these Terms is found by a competent court or tribunal to be invalid, illegal or unenforceable, the remaining provisions will continue in full force and effect. Failure by us to enforce any right or provision under these Terms will not constitute a waiver of that right or provision.
